Terms of Service

1.1 These Terms apply only to your use of the Site. Managed IT, cybersecurity, virtual CISO and other services provided by EzziTrust to customers are governed by our Master Services Agreement and the applicable Statement of Work, which prevail over these Terms for those services.

1.2 Information on the Site, including published plans and prices, is provided for general information and does not by itself create a contract. A contract for services is formed only when a Statement of Work is signed by both parties.

2.1 You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a business, government entity or other organization, you represent that you are authorized to accept these Terms on its behalf.

3.1 You agree to use the Site only for lawful purposes. You agree not to:

1. attempt to gain unauthorized access to the Site, its servers or any connected system or network;
2. probe, scan or test the vulnerability of the Site, or breach any security or authentication measure, without our prior written permission;
3. introduce viruses, malware or other harmful code, or interfere with the proper working of the Site;
4. use automated means to scrape or collect content from the Site in a way that places an unreasonable load on it;
5. submit false, misleading or unlawful information through any form on the Site; or
6. impersonate any person or organization or misrepresent your affiliation with them.

4.1 When you submit a contact form, request an IT review or otherwise send us information, you agree that the information is accurate and that you have the right to share it. We use it to respond to your request and to communicate with you about our services.

4.2 Do not send passwords, credentials, protected health information, controlled unclassified information or other sensitive data through the Site's forms. Sensitive information should only be shared through a secure channel agreed with us.

5.1 The Site and its content, including text, graphics, logos, images and design, are owned by or licensed to EzziTrust and are protected by copyright, trademark and other laws. EzziTrust and the EzziTrust logo are trademarks of EzziTrust LLC.

5.2 You may view and print pages of the Site for your own internal business or personal reference. You may not copy, modify, distribute, republish or create derivative works from the Site's content without our prior written consent.

6.1 The Site may contain links to third party websites or reference third party products. We do not control and are not responsible for their content, policies or practices. Your use of any third party website is at your own risk and subject to that third party's terms.

7.1 Content on the Site, including information about cybersecurity, compliance frameworks and procurement, is general information only. It is not legal, compliance or professional advice for your specific circumstances and should not be relied on as such.

8.1 THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR FREE OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS COMPLETE OR CURRENT.

9.1 TO THE FULLEST EXTENT PERMITTED BY LAW, EZZITRUST, ITS PARENT, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

10.1 You agree to indemnify, defend and hold harmless EzziTrust and its officers, directors, employees and agents from and against any claims, losses, damages, liabilities and expenses, including reasonable attorney's fees, arising out of your breach of these Terms or your misuse of the Site.

11.1 We handle information collected through the Site with care and use it only to respond to you and operate our business. Questions about how we handle your information can be sent to privacy@ezzitrust.com.

12.1 We may change, suspend or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time. The updated Terms take effect when posted, and the date at the top of this page shows when they were last changed. Your continued use of the Site after changes are posted means you accept them.

13.1 These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the federal or state courts located in the State of Texas, and you consent to the jurisdiction of those courts.

14.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with any agreement you sign with us for services, are the entire agreement between you and EzziTrust regarding the Site. You may not assign these Terms without our consent; we may assign them without restriction.
